Terms and conditions
Please read these Terms and Conditions before you place an order. Once we accept your order, they form a legally binding agreement between us. If you're not sure about anything, just call us on 0113 345 0920.
These terms are mainly for customers buying for personal use. If you're buying for your trade or business, see clause 2.2.
1. About us
1.1The Samurai Lock website is run by Solid As A Lock Ltd, a company registered in England and Wales under company number 07843804. Our registered office and trading address is Unit 10 Haines Park, Grant Avenue, Leeds LS7 1QQ.
1.2You can contact us by email at support@samurailock.co.uk or by phone on 0113 345 0920 (Monday to Friday, 8am to 4.30pm).
1.3In these Terms and Conditions, "we", "us" and "our" mean Solid As A Lock Ltd, and "you" and "your" mean the customer.
2. Who these terms apply to
2.1These Terms and Conditions apply to all purchases of Goods from our Website by Consumers. By placing an Order, you agree to be bound by them.
2.2If you are buying for the purposes of your trade or business, these Terms and Conditions also apply, except that clauses 14 and 15 (your right to cancel) do not apply to you. Instead, business returns are covered on our Delivery and returns page, and our liability to you is limited to the price you paid for the Goods, except where the law does not allow this.
2.3You can only buy Goods from the Website if you are able to enter into a legally binding contract and are at least 18 years old.
3. Definitions
3.1In these Terms and Conditions:
- Consumer means an individual buying for purposes that are wholly or mainly outside their trade, business, craft or profession.
- Contract means the legally binding agreement between you and us for the supply of the Goods.
- Delivery Location means our premises or the other place where the Goods are to be supplied, as set out in the Order.
- Durable Medium means paper or email, or any other medium that allows information to be addressed personally to you, stored for future reference and reproduced unchanged.
- Goods means the goods advertised on the Website that we supply to you, in the number and description set out in the Order.
- Order means your order for the Goods, submitted using the step-by-step process on the Website.
- Privacy Policy means our Privacy Policy, which explains how we deal with the personal information you give us.
- Website means our website www.samurailock.co.uk, on which the Goods are advertised.
4. The Goods
4.1The Goods are described on the Website and in any other advertising. Descriptions and images are for illustration only, and there may be small differences in the size and colour of the Goods supplied.
4.2For any Goods made to your requirements, such as extra keys cut to your key code or keyed alike locks, it is your responsibility to make sure that the information you give us, including key codes and lock sizes, is accurate.
4.3All Goods on the Website are subject to availability.
4.4We may make changes to the Goods where they are needed to comply with the law or safety requirements. We will tell you about any such changes.
5. Your account and personal information
5.1If you register on the Website, you must choose a username and password. You are responsible for anything done using your login details, and you must keep them secret and not share them with anyone else.
5.2We use your information strictly in line with our Privacy Policy.
5.3We may contact you by email, phone, other electronic means or by post about your Order, and you agree to this.
6. Placing an order
6.1The descriptions of the Goods on the Website are not a contractual offer to sell. When you submit an Order, we may reject it for any reason, although we will try to tell you why without delay.
6.2Each step of the ordering process allows you to check and correct any errors before submitting your Order. It is your responsibility to check that you have used the ordering process correctly.
6.3A Contract is formed only when you receive an email from us confirming your Order (the "Order Confirmation"). Please check that the Order Confirmation is complete and accurate, and tell us straight away about any errors. We are not responsible for inaccuracies in an Order placed by you.
6.4By placing an Order, you agree to us confirming the Contract by email. You will receive the Order Confirmation within a reasonable time after the Contract is made, and in any event no later than delivery of the Goods.
6.5Any quotation we give is valid for a maximum of 4 days from its date, unless we withdraw it sooner.
6.6No change to the Contract, whether to the description of the Goods, the price or anything else, can be made after it has been entered into unless you and we agree it in writing.
7. Price and payment
7.1The price of the Goods, and any delivery charges, is as shown on the Website on the date of your Order, unless we agree a different price with you in writing.
7.2All prices and delivery charges on the Website, including in the basket and at checkout, include VAT at the current rate.
7.3You can pay by credit or debit card, Apple Pay, Google Pay, Onelink, Klarna or Clearpay. We take payment when you place your Order.
8. Delivery and collection
8.1We will deliver the Goods to the Delivery Location by the time or within the period agreed, or, if no time was agreed, without undue delay and in any event no more than 30 days after the day the Contract is made.
8.2Orders placed before 1pm, Monday to Friday, are usually dispatched the same day, provided we have all the information we need, such as a correct key code. Delivery times we quote, including next working day delivery, are estimates given by our couriers and are not guaranteed. If you need the Goods by a particular date, please tell us before you order.
8.3Whatever the cause of a delay, including events beyond our control, if we do not deliver the Goods on time you may (in addition to any other remedies) treat the Contract as at an end if:
- we have refused to deliver the Goods; or
- delivery on time was essential, taking into account all the circumstances at the time the Contract was made, or you told us before the Contract was made that delivery on time was essential; or
- after we failed to deliver on time, you set a later delivery period that was reasonable in the circumstances, and we did not deliver within it.
8.4If you treat the Contract as at an end, we will (in addition to other remedies) promptly refund all payments made under the Contract.
8.5If you were entitled to treat the Contract as at an end but do not do so, you may still cancel the Order for any of the Goods, or reject Goods that have been delivered. If you do, we will (in addition to other remedies) refund without delay all payments made for those Goods. If the Goods have already been delivered, you must return them to us or let us collect them, and we will pay the costs of this.
8.6If any Goods form a commercial unit (meaning that splitting them up would materially reduce their value or change their character, such as a set of keyed alike locks), you cannot cancel or reject the Order for some of those Goods without also cancelling or rejecting the Order for the rest of them.
8.7We deliver to addresses in England, Wales, Scotland, Northern Ireland, the Isle of Man and the Channel Islands. We do not deliver outside these areas. Deliveries to the Channel Islands may be subject to local import duty or GST on arrival, which is payable by the customer.
8.8Our delivery charges are set out on our Delivery and returns page and at checkout. All Goods are sent by tracked courier.
8.9If you choose free collection from our trade counter, we will contact you by phone or email when your Order is ready. Please bring your order number when you collect.
8.10We may deliver the Goods in instalments if we are short of stock or have another genuine and fair reason, subject to the clauses above and provided you are not charged extra as a result.
8.11If you, or someone you nominate, fail to take delivery of the Goods at the Delivery Location through no fault of ours, we may charge you the reasonable costs of storing and redelivering them.
8.12The Goods become your responsibility once delivery is complete or once you collect them. Where reasonably practicable, you should examine the Goods before accepting them.
9. Risk and ownership
9.1Risk of damage to, or loss of, the Goods passes to you when the Goods are delivered to you or collected by you.
9.2You do not own the Goods until we have received payment in full. If full payment is overdue, or a step is taken towards your bankruptcy, we may, by giving you notice, cancel any delivery and end your right to use any Goods you do not yet own, in which case you must return them or let us collect them.
10. Quality of the Goods and guarantees
10.1We have a legal duty to supply Goods that conform with the Contract. When delivered, the Goods will:
- be of satisfactory quality;
- be reasonably fit for any particular purpose you made known to us before the Contract was made (unless you did not rely, or it was unreasonable for you to rely, on our skill and judgement);
- be fit for any purpose held out by us or set out in the Contract; and
- match their description.
10.2It is not a failure to conform if the problem is caused by materials or information you supplied, such as an incorrect key code.
10.3The Samurai Lock comes with a guarantee provided by Ultion. To activate it, register your lock on the guarantee registration page, which is run by Ultion. The guarantee terms are set by Ultion and are explained when you register. The guarantee is in addition to your legal rights against us as the seller and does not reduce them.
10.4If Goods are faulty or not as described, please contact us as soon as possible. Details of how faulty items are returned are on our Delivery and returns page. This does not affect your legal rights.
10.5We will provide the following after-sales service: we will support you with advice on fitting the Goods you have bought from us.
11. Transfer of the Contract and sub-contractors
11.1Either of us may transfer the benefit of the Contract to someone else, but will remain liable to the other for its obligations under the Contract.
11.2We are responsible for the acts of any sub-contractors we choose to help us carry out our obligations.
12. Events beyond our control
12.1If either of us is prevented from meeting our obligations by something beyond our reasonable control:
- we will tell the other as soon as reasonably practicable;
- the affected obligations will be suspended for as long as is reasonable, provided the affected party acts reasonably; and
- the affected party will not be liable for any failure it could not reasonably avoid.
12.2This does not affect your rights relating to delivery in clause 8, or your right to cancel in clause 14.
13. Our liability
13.1We do not exclude or limit our liability for any fraudulent act or omission, or for death or personal injury caused by our negligence or breach of our other legal obligations.
13.2Subject to this, we are not liable for:
- loss that was not reasonably foreseeable to both of us when the Contract was made; or
- loss (for example, loss of profit) to your business, trade, craft or profession that would not be suffered by a Consumer.
14. Your right to cancel
Cancelling before the Contract is made
14.1You can withdraw your Order by telling us before the Contract is made, for any reason and without any liability.
Your 14-day right to cancel
14.2This is a distance contract, so you have the right to cancel it within 14 days without giving any reason. The cancellation period ends 14 days after the day you, or someone you nominate (other than the carrier), receive the last of the Goods.
14.3The right to cancel does not apply to Goods made to your specifications or clearly personalised. This includes extra keys cut to your key code, keyed alike locks and other items made or cut to your requirements. These can only be returned if they are faulty.
14.4To cancel, you must tell us of your decision by a clear statement, for example by email to support@samurailock.co.uk or by letter. You can use the model cancellation form in clause 15, but you don't have to. You should keep evidence of when you cancelled.
14.5To meet the deadline, it is enough for you to send your cancellation before the cancellation period has ended. If you cancel by email, we will acknowledge your cancellation by email without delay.
Refunds when you cancel
14.6If you cancel, we will refund all payments received from you, including the delivery charge you paid.
14.7We may make a deduction from your refund for any loss in value of the Goods caused by handling them more than was necessary to establish their nature, characteristics and functioning (that is, more than you would reasonably be allowed in a shop), for example if a lock has been fitted.
14.8We will make the refund without undue delay and no later than 14 days after we receive the Goods back from you, or, if we have offered to collect the Goods, 14 days after you tell us you are cancelling.
14.9We will refund you using the same payment method you used, unless you have expressly agreed otherwise. You will not be charged any fees for the refund.
Returning the Goods
14.10If you cancel, you must send the Goods back, or hand them to us, at Solid As A Lock Ltd, Unit 10 Haines Park, Grant Avenue, Leeds LS7 1QQ, without delay and no later than 14 days after the day you tell us you are cancelling. You meet this deadline if you send the Goods back before the 14 days are up.
14.11You will have to pay the cost of returning the Goods. Let us know before sending anything back, and include your order number in the parcel, which helps us match your return to your Order quickly. Full details are on our Delivery and returns page.
